the 2003 machine is a DC (running dhcp, dns etc)so it's assigning the IP addresses. this bit all works fine.
I have been told in another forum that it's just not possible to share an ADSL connection on a USB modem, although not sure how true this is.

either disable DHCP service and treat as windows XP machine or setup 2k3 machine as domain controler with DHCP and NAT etc the second option is fully documented in windpows help
